Opportunity Description

Tatum's client, a Private Equity company, is searching for a Transaction Readiness Consultant to provide support and leadership during the prep for sale process.This person will provide central coordination of the entire exit process at they company, as well as work closely with the Private Equity parent company and the sell-side investment bank. This could be 3-4 of preparation, plus another 3 months of actual sales process.

This position does not have a determined location at this time, so someone that is able and interested in traveling for an interim assignment is required.

Thorough preparation of exit together with the company:

  • Concept of vendor due diligences (not common in the US, very common in Europe), i.e. due diligence reports will be prepared from the sell-side by external advisers (commercial, legal, financial, tax, technical, environmental)
  • In order for the advisers to be able to work on such reports, information will need to be compiled in a virtual data room
  • Someone needed with transaction experience to coordinate centrally at the company the collection of such information incl. sense-checking such information from a potential buyer's perspective; this entails working with the different departments of the company to make sure collection is done in a structured way and information is complete
  • Consistency of figures and information will also need to be ensured
  • Usually ex M&A Bankers have the right skillset for such role
  • Information Memorandum and management presentation will need to be prepared by the mandated investment bank, but role would be making sure information in such memo is in line with what has been compiled in the data room etc.
  • Role would also be to be the point person for the company for questions regarding sales process related matters to make sure everyone is well prepared

Process kick-off

  • Once process kicks off Q&A process starts
  • Role would be to coordinate incoming questions from buyers, allocating to the right people, reviewing answers
