Currently looking for a Payroll & Stock Administration Manager for a high growth pre-IPO biotechnology company in the peninsula. Position would help manage the payroll functions, stock administration and build out those functions as the company grows. responsibilities:

Position Summary This role offers an exciting opportunity to join a fast-paced start up organization as the Payroll and Stock Administration Manager. This person will lead and manage all aspects of payroll and stock administration and will report directly to the Corporate Controller and partner directly with the human resources, finance, and legal teams, and other cross-functional colleagues. Working in a rapidly growing company, this position gives the individual the opportunity to own and shape the function as the Company grows.

Key Responsibilities

- Independently prepare and process semi-monthly and bi-weekly payroll timely and accurately for CA and multi-state employees, including preparing and recording payroll journal entries and account reconciliation

- Ensure employee 401(k) and other benefits deductions and any other payroll updates are maintained per employee change requests at each pay period - Handle statutory tax withholding requirements for multiple states related to out of state employees - Monitor manual timecard submissions and approval process

- Process and submit employee stock options, ESPP income gains and related tax withholding for payroll reporting

- Subject matter expert in researching/understanding new rules and tax regulations pertaining to payroll and stock option programs

- Be a key contributor in the implementation of E*Trade Equity Edge for stock administration

- Partner with other functional leads (including Legal, HR, Payroll, Accounting and Finance) to develop processes which ensure the accuracy of all equity data including all aspects of record-keeping, withholding, reporting, reconciliation and auditing

- Ensure proper taxation is applied to all equity exercises and releases

- Manage the preparation of all relevant equity transactions, such as grants, exercises and cancellations

- Manage Section 16 compliance

- Manage the reporting, reviewing, and tracking of 10b5-1 trading plans

- Maintain solid understanding of all federal and state payroll tax laws related to wages, garnishments, benefits, leave of absence, 401(k), ESPP, FSA, relocation benefits, etc.

- Handle and resolve tax notices/inquiries as needed

- Prepare month-end journal entries, accruals, and reconciliations related to areas of responsibility

- Prepare bonus accruals and reconciliation, vacation accruals and reconciliation and monthly accruals for any other personnel related expenses

- Prepare and reconcile year-end reporting preparations, such as W-2 reporting

- Assist with quarterly and year-end audit requests from external auditors related to areas of responsibility

- Ensure payroll process and procedures are compliant with SOX controls

- Perform ad-hoc projects, as needed

 
qualifications:

Requirements

- Bachelor's degree required with emphasis in finance / accounting preferred

- 5+ years in full cycle payroll administration with minimum of one year of stock administration experience

- Solid knowledge in payroll law and general ledger accounting required as well as equity administration experience

- Demonstrated knowledge and skills in US GAAP

- Strong written & verbal communication skills

- Detail-oriented and capable of producing high-quality work independently with integrity

- Positive team-player, who can take ownership of assigned responsibilities

- Good verbal and communication skills with proven ability to interact with various departments and levels, daily, including senior management

- Fluency in Microsoft Office suite (Outlook, Excel, Word, PowerPoint, etc.)

- Experience with TriNet a plus

- Bio-tech industry experience preferred

- E-Trade Equity Edge and CARTA system experience preferred
